Terms of Service

Agreement

By accessing or using RNBY, you agree to be bound by these Terms of Service. If you are using RNBY on behalf of a company or organization, you represent that you have authority to bind that entity to these terms.

Updates

We may update these terms from time to time. We will notify you of material changes at least 14 days before they take effect. Continued use of RNBY after an update constitutes acceptance of the revised terms.

What RNBY Provides

RNBY is an AI operating platform that connects to your business tools, builds company memory, enables AI agents to assist with workflows, and surfaces information through a command interface. The service is provided on a subscription basis.

Availability

We aim to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance and events outside our control may cause temporary disruptions. We will communicate planned downtime in advance where possible.

Changes to the Service

We may add, modify, or discontinue features of RNBY. For significant removals of functionality, we will provide reasonable advance notice to affected customers.

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@rnby.ai if you suspect unauthorized access.

Authorized Users

You may grant access to team members within your account. You are responsible for ensuring that all users comply with these terms. Each user must be a human individual; shared or automated accounts are not permitted.

Account Eligibility

You must be at least 18 years old to use RNBY. By using the service, you represent that you meet this requirement.

Permitted Use

You may use RNBY for lawful business purposes in accordance with these terms and any applicable laws and regulations.

Prohibited Conduct

You may not use RNBY to: (a) violate any law or regulation; (b) infringe intellectual property rights; (c) transmit harmful, deceptive, or abusive content; (d) attempt to gain unauthorized access to systems or data; (e) interfere with the integrity or performance of the service; (f) reverse-engineer or extract the underlying models or infrastructure; or (g) resell or sublicense access to RNBY without our written consent.

AI Usage Responsibility

You are responsible for reviewing agent-generated content before acting on it. RNBY provides drafts, answers, and automations to assist human decision-making — not to replace it. You remain responsible for the decisions you approve and actions you take using the service.

Ownership

You retain all ownership of the data you bring into RNBY — including content from connected tools, uploaded files, and company information. We do not claim any ownership over your data.

License to Operate

By using RNBY, you grant us a limited, non-exclusive license to access, process, and store your data solely to provide and improve the service as described in our Privacy Policy.

Data Accuracy

You are responsible for ensuring that data you provide or connect to RNBY is accurate and that you have the right to use it in connection with the service.

Data Upon Termination

After termination, you may request an export of your data within 30 days. After that period, we will delete your data in accordance with our Privacy Policy.

Fees

Subscription fees are charged in advance on the billing cycle you select (monthly or annual). All fees are non-refundable except as required by law or as expressly stated at the time of purchase.

Upgrades & Downgrades

You may change your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period.

Non-Payment

If payment fails, we will notify you and provide a grace period to update your billing information. Accounts with outstanding balances may be suspended until payment is resolved.

Taxes

Fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your purchase.

RNBY IP

RNBY and its underlying technology, design, and content are owned by RNBY and protected by intellectual property laws. These terms do not grant you any ownership rights in the service.

Feedback

If you provide feedback or suggestions about RNBY, you grant us the right to use that feedback without restriction or compensation.

As-Is Service

RNBY is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI Outputs

AI-generated content may be inaccurate, incomplete, or not suitable for your specific situation. RNBY does not warrant the accuracy, completeness, or reliability of any AI outputs. You should independently verify important information before acting on it.

Limitation of Liability

To the maximum extent permitted by law, RNBY's total liability for any claim arising from or related to these terms or the service will not exceed the fees you paid in the 12 months prior to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

By You

You may cancel your RNBY subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account for material breach of these terms, non-payment, or if required by law. For non-material issues, we will provide notice and a reasonable opportunity to cure before termination.

Effect of Termination

Upon termination, your right to access the service ends immediately. Provisions that by their nature should survive termination — including payment obligations, IP ownership, disclaimers, and dispute resolution — will continue to apply.

Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Dispute Resolution

We prefer to resolve disputes informally. If you have a concern, contact us at legal@rnby.ai and we will work to resolve it. If informal resolution fails, disputes will be resolved by binding arbitration under the rules of the American Arbitration Association.

Class Action Waiver

You agree to resolve disputes with RNBY on an individual basis and waive any right to participate in class actions or class-wide arbitration.
